Business Associate Agreement

HIPAA BUSINESS ASSOCIATE AGREEMENT

This Business Associate Agreement ("Agreement") is entered into between the healthcare organization ("Covered Entity") and RecertMe, Inc. ("Business Associate").

1. Obligations and Activities of Business Associate

Business Associate agrees to:

  • Not use or disclose Protected Health Information other than as permitted or required by this Agreement or as Required by Law;
  • Use appropriate safeguards to prevent use or disclosure of PHI other than as provided for by this Agreement;
  • Implement administrative, physical, and technical safeguards that reasonably protect the confidentiality, integrity, and availability of electronic PHI;
  • Report to Covered Entity any use or disclosure of PHI not provided for by this Agreement;
  • Ensure that any agents or subcontractors agree to the same restrictions and conditions;
2. Permitted Uses and Disclosures

Business Associate may use or disclose PHI to perform functions, activities, or services for, or on behalf of, Covered Entity as specified in the service agreement.

3. Security Obligations

Business Associate shall implement and maintain appropriate safeguards to prevent the use or disclosure of PHI other than as provided for by this Agreement.

4. Breach Notification

Business Associate shall notify Covered Entity within 24 hours of any breach of unsecured PHI.

5. Term and Termination

This Agreement shall remain in effect until terminated by either party.
